    3. You will not post, distribute or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior consent of the owner of such proprietary rights.
    4. We reserve the right to terminate or restrict your access to the website if, in our opinion, your use of the website may violate any laws, infringe upon another person's rights or violate the terms of this Agreement.

    1. Links to Other websites.

    VESCENSE expends great efforts to provide only high quality web resources that are valuable and appropriate. However, because VESCENSE does not have control over the changing nature of content on sites that may be listed in its links, VESCENSE lists third party sites for use at the user's risk and explicitly disclaims any responsibility for the accuracy, content, or availability of information the resources may contain. Subsequently, VESCENSE does not warrant or guarantee that information from any listed site will not contain material that is inaccurate, or which some individuals may deem inappropriate or objectionable.

Any rights not expressly granted by this Agreement or any applicable end-user license agreements are reserved by VESCENSE.
    2. VESCENSE, logos, and all product and service names, company names, and other logos, unless otherwise noted, are trademarks and/or trade dress of VESCENSE Company.  The use or misuse of any Marks or any other materials contained on the website, without the prior written permission of their owner, is expressly prohibited. 1. Disclaimer of Warranty and Limitation of Liability.

    1. Accounts and Password.

    1. You are solely responsible for all activities within your account under your password and VESCENSE identification number. Your password should be treated with care and should not be disclosed to anyone. You cannot use your password or anyone else's password for any unauthorized purpose. You indemnify VESCENSE and its staff from all claims and liabilities made by a third party resulting from all activities incurred within your account.
    2. In consideration of your use of the website you agree to: (i) provide true, accurate, and current and complete information about yourself or your organization as prompted by the website (the "registration information"); and (ii) maintain and update the Registration Information to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, we may suspend or terminate your account and decline to permit your continued use of the website and future access to the website.

    1. Indemnification

         You agree to indemnify, defend and hold VESCENSE and its Advocates, subsidiaries officers, directors, employees and agents harmless from and against any and all claims, demands, actions, costs, liabilities, losses and damages of any kind (including actual attorneys' fees) resulting from (i) your use, misuse or abuse of the website, (ii) your use or purchase of services or goods provided through the website, or (iii) your breach of any provision of this Agreement. You will cooperate as fully as reasonably required in VESCENSE defense of any claim. VESCENSE reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and you shall not in any event settle any matter without the written consent of VESCENSE.

    1. Confidentiality.

    For Advocates, your user engagement includes a revocable right to access and use certain trade secret, confidential, and proprietary business information, which includes, without limitation, sales organization information, i.e., information compiled by VESCENSE that discloses or relates to all or part of the Advocates sales organization, including, without limitation, Advocate lists, and all Advocate contact and business performance information. You acknowledge that VESCENSE is the exclusive owner of all such confidential information and agree to maintain all confidential information in strictest confidence and to use it only as authorized by VESCENSE. You agree not to compile, organize, access, create lists of, or otherwise use confidential information except as authorized by VESCENSE under the Advocate Policies and Procedures, as amended.

    1. Linking and Framing Policy.

    1. This website may contain links to other websites operated by third parties. The linked sites are not under our control and we are not responsible for their content. Such links do not imply our endorsement or guarantee of the products, information, or recommendations provided by any third party site.  The third party site may have a privacy policy different from ours and may provide less security than this website. We disclaim all liability with regard to your access to such linked websites. We provide links to other sites as a service to users, and access to any other sites linked to this website is at your own risk.
    2. Unless you have a written agreement in effect with VESCENSE that states otherwise, you may only provide a hyperlink to the website on another website only if the link is a text-only link clearly marked "VESCENSE" or "www.VESCENSE.com," and the link is directed to the URL www.VESCENSE.com and not to other pages within the website.  In addition, the link, when activated by a user, must display the website full-screen and not within a "frame" on the linking website.  Further, the appearance, position and other aspects of the link must not be such as to damage or dilute the goodwill associated with the VESCENSE name and trademarks or create the false appearance that VESCENSE is associated with, approves of, or is a sponsor of, the linking website. VESCENSE reserves the right to revoke its consent to any link at any time in its sole discretion.

    1. License to use submitted material.

    By posting or contributing content to the Site, or by providing any feedback, suggestions, ideas, and other submissions to VESCENSE, you are granting VESCENSE a non-exclusive, royalty-free, perpetual, and worldwide license to use your content in connection with the operation of the Services, including, without limitation, (a) the license rights to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your content, and/or to incorporate it into a collective work, and (b) the right to sublicense any or all of VESCENSE’s license rights to others. You further waive any and all moral rights in and to such content in favor of VESCENSE. For greater certainty, this means that, among other things, VESCENSE has the right to use any and all ideas you submit (including ideas about our products, services, publications or advertising campaigns) in any manner that we choose, without any notice or obligation to you whatsoever.

    1. Any information provided to VESCENSE in connection with use of the website: (i) shall not be false, inaccurate or misleading; (ii) shall not be obscene or indecent; (iii) shall not contain any viruses, Trojan horses, worms, time bombs, or other computer programming routines that are intended to intercept or expropriate any system, data or personal information, or to damage, detrimentally interfere with any system.; (iv) shall not infringe on any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (v) shall not be defamatory, libelous, unlawfully threatening or harassing; and (vi) shall not create liability for VESCENSE or cause us to lose the services of our Internet service providers or other suppliers.
    2. You agree not to interfere or take action that results in interference with or disruption of the website or servers or networks connected to this website. You agree not to attempt to gain unauthorized access to other computer systems or networks connected to this website.

    1. Anti-spam Policy.

    VESCENSE strictly prohibits the sending of unsolicited bulk email (spam). Spam is defined for this purpose as sending messages similar in content to any persons, entities, newsgroups, forums, email lists, or other groups or lists unless prior consent has been obtained from the email recipient or unless there is a pre-existing business or personal relationship with the email recipient. VESCENSE also prohibits using false headers in emails or falsifying, forging or altering the origin of any email in connection with VESCENSE, and/or its products and services. VESCENSE prohibits engaging in any of the foregoing activities by using the service of another provider, remailer service, or otherwise.  If you or anyone you know is "spammed" by someone who is selling or describing VESCENSE’s products, please contact us promptly so that we take appropriate action.

    1. Copyright Infringement.

    1. In appropriate circumstances and in our sole discretion, we may remove or disable access to material on any of our websites or hosted on our systems that may be infringing the copyright of others.
    2. Consistent with the Digital Millennium Copyright Act ("DMCA"), VESCENSE will respond to a notice of alleged copyright infringement regarding any information available on our Site or through our Service. Please note that this procedure is exclusively for notifying us that copyrighted material has allegedly been infringed and matters other than informing VESCENSE that copyrighted material may have been infringed will not receive a response through this process.
    3. Pursuant to the DMCA, your infringement notification must include the following information:
      1. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
      2. A description of the copyrighted work that you claim has been infringed upon;

    Unfortunately, we cannot accept returns on sale items or gift cards.

    The fastest way to ensure you get what you want is to return the item you have, and once the return is accepted, make a separate purchase for the new item.

    We will notify you once we’ve received and inspected your return, and let you know if the refund was approved or not.
